As part of Belden Hill Partners’ commitment to the Connecticut chapter of ACG, Anthony Macaluso participates as a member of the Young Professional Committee of the ACG CT Board of Directors. In an effort to promote membership growth and networking opportunities for young professionals in Fairfield County, the Young Professional Committee developed a two-part content series titled “The Anatomy of the Deal”, designed as two separate networking events with panel discussions focused on the various stages of an M&A transaction and the various roles, across multiple disciplines, in which young transactional professionals contribute to successful deal outcomes. Part 1 of the series took place in mid-November, and in addition to playing a key role in coordinating the event, Anthony participated as one of the panelists. Part 2 is scheduled for the first quarter of 2020. An overview of the topics for each event is outlined below.

Part 1 – From Origination to Offer: A discussion focused on the early stages (pre-LOI) of a transaction, such as evaluating prospective client opportunities, marketing material preparation, potential buyer outreach strategies, and the challenges of negotiating a Letter of Intent.  There will be a specific focus on each activity and the role that young transactional professionals can have in creating a win-win transaction for both buyer and seller.

Part 2 – Getting to the Closing Table:  Once the parameters of a deal have been agreed to by both sides, there is still much work to be done to move the transaction from offer to closing.  Young professionals, in particular, are critical in moving the deal along, from managing due diligence research and performing detailed analyses, to finalizing the capital structure and drafting the transaction documents. Best practices and potential pitfalls will be highlighted as part of the discussion on this important stage in a transaction process.
